Terms and Conditions of Sale

(TwoCan a trading name of Cultivate Success Ltd)

Last updated: September 2025 (Applicable to products and services sold by TwoCan in the UK)

1. Introduction and Definitions

  • Who We Are: TwoCan Mentor is a trading name of Cultivate Success Ltd, a company registered in England (Company No. 15096102)[1]. Our registered office is at York House, Thornfield Business Park, Northallerton, UK. In these terms, “TwoCan”, “we”, “us”, or “our” refers to Cultivate Success Ltd trading as TwoCan, and “you” or “Customer” refers to the person or entity purchasing our products or services.
  • Scope: These Terms and Conditions of Sale (“Terms”) apply to all sales and bookings of TwoCan programmes, courses, events, and related services made via our website (www.twocanmentor.co.uk) or via email/phone. By placing an order or booking with us, you agree to be bound by these Terms. If you do not agree, you should not proceed with the purchase.
  • Consumers and Businesses: Some provisions of these Terms apply differently depending on whether you are a consumer or a business customer. A consumer means an individual purchasing for personal use, outside of business. A business customer means any entity or individual purchasing for purposes related to a trade, business, or profession. These Terms will indicate where certain conditions apply only to consumers or only to businesses.

2. Booking Process and Formation of Contract

  • Placing an Order: When you submit a booking request or order for a TwoCan event or programme (for example, by completing our online booking form or contacting us to register), you are offering to enter a contract with us for the supply of those services[2]. Please ensure all information you provide in the booking (e.g. participant name, contact details, event selection) is accurate and complete[2]. You will have an opportunity to review and correct any errors in your order before submitting it to us.
  • Our Acceptance: A binding contract is formed only when we confirm acceptance of your booking. We may send an email confirmation or invoice to confirm we have received and accepted your order (“Order Confirmation”)[3]. We reserve the right to decline any booking request at our discretion (for example, if an event is fully booked or if pricing errors are found)[4][5]. If we cannot accept your order, we will inform you and no contract will be formed; any payment already made will be refunded in that case[6].
  • Age Requirement (Consumers): If you are a consumer, you must be 18 years of age or older to purchase our programmes or event tickets[7]. By placing an order, you represent that you meet this age requirement.

3. Price and Payment Terms

  • Prices and VAT: All fees (“Price” or “Fee“) for our events and services are stated in UK Pounds Sterling. Prices are typically listed on our website or communicated in our marketing materials. Unless expressly stated otherwise, prices are exclusive of VAT (value-added tax)[8]. If VAT or any other taxes apply, these will be added at the applicable rate and shown to you during the booking process or on the invoice.
  • Payment Timing: Payment is due at the time of booking confirmation, unless we expressly agree to invoice you with a later due date. For online bookings through our website, you will be required to provide payment at checkout via the available payment methods (e.g. credit/debit card). For corporate or offline bookings, we may issue an invoice – in such cases, payment must be received by the due date specified on the invoice (and in any event no later than 14 days prior to the event start date, unless otherwise agreed). We reserve the right to refuse attendance if fees are not paid in full when due. Once a booking is confirmed, you are liable for the full Fee as per the booking, even if you fail to attend (see Cancellation terms below)[9].
  • Payment Methods: We accept major credit/debit cards (processed securely via Stripe), PayPal, and bank transfer (BACS). If paying by bank transfer or invoice, you must inform us and ensure the payment reference is clear[10]. All payments must be made in GBP. You are responsible for any bank charges or transaction fees. We do not store your card details on our systems; online payments are handled by third-party payment processors (such as Stripe/PayPal) under their secure protocols.
  • Late Payment (Business Customers): If you are a business customer and fail to pay any amount by the due date, we reserve the right to charge interest on the overdue sum at 4% per annum above the Bank of England base rate, accruing daily from the due date until payment is made in full. This is in addition to any statutory rights we may have under the Late Payment of Commercial Debts (Interest) Act 1998.
  • Invoice Queries: Any billing errors or invoice disputes must be raised to us in writing within 10 working days of the invoice date[11][12]. We will work quickly to resolve any confirmed errors (e.g. pricing inaccuracies on our site or invoices)[5]. If you identify an error, please contact us immediately; we expressly reserve the right to correct obvious pricing mistakes even after an order is accepted[5].

4. Cancellation and Refund Policy (Customer-Initiated)

4.1 Statutory Cancellation Rights

  • No “Cooling-Off” for Event Bookings: Please note that if you are booking our mentorship programme, training course or event as a consumer, you do not have the automatic 14-day cooling-off cancellation right that some purchases provide. This is because our services often involve leisure or training activities scheduled for specific dates or periods, which are exempt from the normal consumer cancellation rights[13]. For example, event tickets or courses on set dates are not subject to the 14-day cancellation period under UK consumer laws[13]. We instead offer the refund policy below. (This does not affect your right to cancel within 14 days of purchase if the law mandates it in a particular case, but in general, date-specific events are excluded.)
  • Your Statutory Rights: If you are a consumer, you still have other legal rights, such as rights under the Consumer Rights Act 2015 that services be provided with reasonable care and skill, etc. Nothing in these Terms will affect or reduce your statutory rights where they apply[14].

4.2 Our Refund Policy for Cancellations

We understand that sometimes you may need to cancel your participation. We have adopted the following staged refund policy, which we believe is fair and in line with industry practices[15]:

  • Cancellation more than 8 weeks before the event start date: If you notify us that you wish to cancel earlier than 2 months (8 weeks) before the event or programme start date, you will be entitled to a full refund of fees paid, minus an administrative charge to cover our processing costs. (The admin fee will typically cover costs such as booking fees or transaction charges we incur; we will notify you of this amount, which will be reasonable.)[16]
  • Cancellation between 8 weeks and 4 weeks before the start date: If you cancel within the period of 8 weeks to 4 weeks (i.e. more than 28 days but less than 56 days) before the event start, we will refund 50% of the fee paid. The remaining 50% is retained to cover costs and commitments we have already made.[15]
  • Cancellation less than 4 weeks before the start date: If you cancel within 1 month (under 28 days) of the event or programme start date, no refund will be payable. This is because at that late stage we have incurred the full costs of your place and likely cannot refill it.[15]
  • How to Cancel: To cancel your booking, you must inform us in writing – an email to our contact address is acceptable. The effective cancellation date is the date we receive your written cancellation notice[17]. We will acknowledge your cancellation as soon as possible.
  • Refund Process: Approved refunds will be processed as soon as practicable, typically using the same method you paid (for example, refund to the same card or bank account). Please allow up to 14 days from confirmation of your cancellation for the refund to appear. Any administrative fee or non-refundable portion of the price (as per the schedule above) will be deducted before refund.
  • No-Shows: If you or the enrolled participant simply do not attend the event or do not utilize the services on the day(s) scheduled, this will be treated as a cancellation on the day of the event (which falls under “no refund” scenario). No refunds or credits will be given for no-shows or unused services, and any remaining payments due will still be payable.

4.3 Deferral and Transfer of Bookings

  • One-Time Deferral: We allow customers to defer their booking once to a later course or event date (for an equivalent programme), subject to the conditions below. If you wish to postpone your attendance and transfer to a later session or the next cohort, you must request this in writing. We will try to accommodate deferral requests where possible[19].
  • Notice Required: Deferral requests should be made no later than 4 weeks (1 month) before the original start date. If you inform us that you wish to defer more than one month in advance, we will move your booking to the later date (if available) without additional charge. If you request a deferral closer than 1 month to the start date, we reserve the right to decline the deferral or to treat it as a late cancellation (i.e. no refund), at our discretion[20]. Any deferral request made within the last month before the event will be considered case-by-case and is not guaranteed – approval of such late deferrals is at TwoCan’s sole discretion.
  • Deferral Availability: Deferrals are only possible into future events or courses that have available space. We cannot guarantee when the next equivalent programme will run, but will provide you with options if available. You may defer to an event of equal value; if no such event is scheduled or spaces are full, we may offer an alternative or keep your fee as credit for a future date.
  • Effect on Refunds: If you defer your place, you will not be eligible for a refund of the original booking (since the booking is carried forward rather than cancelled). After a deferral, our refund policy timeline is still based on the original event date. This means if you later decide to cancel entirely after having deferred, we will calculate any refund (if applicable) as if you had cancelled relative to the original date of the event you first booked, not the new deferred date[21]. (In practice, once you defer, there is often no refund option left if the original event was within a month.) You cannot defer a second time – only one deferral per booking is permitted.
  • Procedure: To request a deferral, please contact us as soon as possible with your preferred alternative date. We will confirm in writing if the deferral is approved and the details of your new booking. All communications about deferral should be in writing for clarity[17].

5. Cancellation or Changes by TwoCan

5.1 Cancellation of Event by Us

  • Right to Cancel or Reschedule: TwoCan reserves the right to cancel or reschedule an event or course if circumstances require it. While we will make every effort to run events as scheduled, in rare cases we may need to cancel (for example, due to low enrollment numbers, instructor illness, venue issues, or other unforeseen circumstances)[22]. We may also postpone an event to a later date for similar reasons.
  • Notification: If we cancel an event entirely, we will notify you as soon as reasonably possible. Notice will be given via the contact details you provided (e.g. email or phone). In case of rescheduling (change of date or venue), we will likewise inform you promptly of the new arrangements.
  • Your Options: In the event that we cancel and do not provide an alternative date, you will receive a full refund of any fees you have paid for that event[23]. If we reschedule or significantly change the event (e.g. change the date or city of the venue), your booking will be moved to the new date by default. If you cannot attend on the new date or do not accept the changes, you have the right to cancel your booking and receive a full refund of fees paid[23]. We will give you a reasonable period to inform us if you choose to cancel in response to a reschedule/change.
  • No Additional Liability: If we cancel or change an event, our liability to you is limited to refunding the ticket or course fees you paid. We will not be responsible for any additional costs or losses you incur as a result of the cancellation or change, such as travel or accommodation expenses, loss of work time, or any other indirect or consequential loss[23][24]. We recommend you consider travel insurance if your attendance involves significant travel arrangements.
  • Force Majeure: If the event is rendered impossible or impractical due to events beyond our reasonable control (for example, natural disasters, strikes, epidemics, government restrictions, or venue closure), we may cancel, interrupt, or reschedule the event. Such circumstances are considered force majeure. In such cases, we will attempt to reschedule or provide a suitable alternative; if that is not feasible, we will refund fees as described above. However, we shall not be held liable for delay or failure to perform our obligations resulting from such force majeure events, provided we have taken reasonable measures to inform you and mitigate the impact[25].

5.2 Changes to Event Content or Venue

  • Programme Variations: TwoCan strives to deliver events and courses as advertised, but we reserve the right to make minor modifications to the content, schedule, speakers, or venue of an event if necessary. For example, we may change the sequence of agenda items, substitute trainers/mentors with someone of equal qualification, or move the venue within the same city, if these adjustments are needed to ensure a quality experience. Such minor changes will not entitle you to cancel or refund as long as the overall event is substantially as described.
  • Material Changes: If we must make a material change (for instance, a different city or a significant change in dates or core content), we will inform you and you will have the option to accept the change or cancel with a refund, as stated in section 5.1. We consider a change material if it significantly alters the nature of what was promised (e.g., switching to a fully online format when it was sold as in-person, or moving the event to a different month).
  • Timing of Changes: Occasionally, due to circumstances beyond our control, last-minute changes to timing or content may become necessary. We will give participants as much notice as possible and will try to keep any changes minimal[26]. We appreciate your understanding in such situations.

6. Conduct and Participant Obligations

  • Professional Conduct: We expect all participants to behave professionally and respectfully toward others during TwoCan events and programs. Harassment, discrimination, or disruptive behavior is not tolerated. We reserve the right to refuse admission to or eject any participant who, in our reasonable opinion, behaves in a manner that is unsafe, illegal, or disruptive to the event or other attendees. In such case, the participant will not be entitled to a refund.
  • Compliance with Instructions: For in-person events, you must comply with all health and safety rules, any venue requirements, and any reasonable instructions given by TwoCan staff or venue staff. This includes, for example, fire evacuation procedures, security checks, or any COVID-19 or other public health measures in effect.
  • Materials and Equipment: If the event requires you to bring or use certain equipment or materials (we will inform you in advance if so), you are responsible for bringing those or informing us if you need accommodation. Any materials we provide to you are for your personal use as a participant; see Intellectual Property section regarding use of content.

7. Intellectual Property and Use of Materials

  • Training Materials: All content provided or presented during our courses, mentorship programs, workshops, and events – including slides, handouts, digital materials, and the design/structure of the program – is the intellectual property of TwoCan (Cultivate Success Ltd) or our licensors, unless otherwise stated. These materials are protected by copyright and other intellectual property laws.
  • Personal Use Only: As an attendee, you may receive course materials or have access to online content. We grant you a limited, non-transferable license to use those materials for your own personal learning and reference. You may not copy, distribute, share, publish, record (unless permitted), or create derivative works from any course or event materials without our explicit written consent[27]. This means, for example, you should not upload our slides to the internet or share workshop videos with others who are not participants.
  • No Reproduction or Resale: You agree not to reproduce, sell, resell, or exploit any portion of our courses or materials for commercial purposes[27]. All logos, trademarks, and content of TwoCan Mentor remain our property. Using our content in any manner not authorized by us may violate our intellectual property rights and we reserve the right to take action in such cases.
  • Feedback: If you provide feedback or suggestions regarding our programmes, you grant us a royalty-free, perpetual license to use and incorporate those suggestions without any obligation to you (this is simply to avoid any disputes if we happen to implement an idea similar to your feedback in the future).

8. Liability Limitation

Please read this section carefully – it limits certain liabilities of TwoCan. We have a duty to perform our services with reasonable care and skill, but we also need to set proper boundaries on our liability in case things don’t go as planned. We do not exclude liability that cannot be excluded by law.

  • No Exclusion of Certain Liabilities: Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other liability which cannot be lawfully excluded or limited. For consumers, we do not exclude liability for lack of reasonable care or breach of your statutory rights under consumer law, to the extent that such exclusion would be unlawful.
  • Limitation for Consumers: If you are a consumer, and we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breach or negligence. We are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen (for example, if you notified us in writing about a particular risk). If you use our services for any commercial or business purpose (which would make you a business customer in fact), we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • Limitation for Business Customers: If you are a business customer (not purchasing as a consumer):
  • Indirect and Consequential Losses: We shall not be liable to you for any indirect, special or consequential losses, or for any of the following types of loss (whether direct or indirect): loss of profit, loss of anticipated savings, loss of revenue, loss of goodwill or reputation, or wasted management or staff time[28].
  • Direct Loss Cap: Our total aggregate liability to you for all claims arising under or in connection with the contract (whether in contract, tort (including negligence), breach of statutory duty or otherwise) shall be limited to the total amount of fees paid by you for the particular product/event in question[28]. In other words, our maximum liability for any claim will not exceed the price you have paid us for the service giving rise to that claim.
  • Implied Terms: To the fullest extent permitted by law, we exclude all implied warranties, terms or conditions that are not expressly stated in these Terms. This means we are only accountable to the obligations as set out in this agreement and those mandated by law.
  • No Liability for Third-Party Services: Sometimes we may recommend or arrange third-party services (for example, if we direct you to a hotel or a payment plan provider). These are just recommendations; any contract for those services is between you and the third-party provider. We are not responsible for the acts or omissions of third parties.
  • No Liability for Events Outside Our Control: As noted in the Force Majeure clause, we are not liable for failures or delays caused by events we cannot reasonably control. If such events occur, we will take reasonable steps to minimize the impact on you, but we will not be liable for losses resulting from such events, provided we have complied with our obligations to you up to that point.

9. Personal Data and Privacy

  • Use of Personal Information: We will collect and use personal information from you and any participants you enroll in accordance with our Privacy Policy (available on our website) and applicable data protection laws. This includes using contact details to manage your booking and send event information, and any necessary details for providing the service (e.g. sharing dietary requirements with a venue if catering is provided).
  • Privacy Policy: Please review our Privacy Policy for details on how we process personal data, including any rights you have over your information. By making a booking, you acknowledge that you have read and understood our Privacy Policy. If you are booking on behalf of someone else (e.g. enrolling an employee or colleague), you must have their authority to provide their personal information and you should inform them of these Terms and our Privacy Policy.
  • Marketing Communications: We will not spam you, but if you opt-in to receive updates or newsletters, we may send you informational or promotional emails. You can opt out at any time. We will not share your contact details with third parties for marketing purposes without your consent.

10. Other Important Terms

  • Entire Agreement (Business Customers): If you are a business customer, these Terms (along with any Order Confirmation and referenced documents) constitute the entire agreement between you and us regarding the sale. You acknowledge that you have not relied on any statement or representation that is not expressly set out in these Terms when entering into the contract[29].
  • Changes to Terms: We may update or amend these Terms from time to time. The Terms in effect at the time of your order/booking will apply to that purchase. If we update the Terms and those changes are required by law or government authority, or if we contact you to notify of an immediate change to these Terms (for example, for security, legal or regulatory reasons), we will let you know. Otherwise, changes will not affect existing bookings that we have already confirmed. Any new bookings will be subject to the latest Terms in place at that time[30].
  • No Third-Party Rights: This contract is between you and TwoCan (Cultivate Success Ltd). No other person shall have any rights to enforce any of its terms, either under the Contracts (Rights of Third Parties) Act 1999 or otherwise. For example, if you purchase a course for an employee, that employee cannot directly claim against us under this contract – any claims would have to be made by you as the contracting party. (This does not affect any transferee’s rights in case of a permitted substitution; see Section 4.2 on Substitutions.)[31]
  • Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, and if it cannot be made enforceable, it shall be severed (removed) from the agreement without affecting the validity of the remaining provisions.
  • Waiver: If we do not insist immediately that you do something you are required to do under these Terms, or if we delay in taking steps against you if you breach these Terms, that does not mean we waive our rights or that you do not have to comply. For example, if you miss a payment and we do not chase you but we continue to provide the service, we can still require you to make the payment at a later date. Any waiver of rights would be confirmed by us to you in writing.
  • Governing Law: These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by the law of England and Wales.
  • Jurisdiction: If you are a consumer, we both agree that the courts of England and Wales will have non-exclusive jurisdiction. This means you can bring a claim to enforce your consumer rights in England and Wales or in the UK country where you live. If you are a business customer, we both agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
  • Contact Information: If you have any questions about these Terms or need to contact us for any reason (including cancellations or complaints), please reach out to us at: mentoring@twocanmentor.co.uk or call 07778 716160. Our mailing address is the registered office given in Section 1. We will respond as promptly as possible to address your inquiry.

By purchasing a TwoCan Mentor programme or event, you acknowledge that you have read, understood, and agree to these Terms and Conditions of Sale. These Terms are intended to create a fair and transparent relationship between you and us for the benefit of a successful mentoring and training experience. Thank you for choosing TwoCan Mentor!

Emma Steele

Knowledge Exchange at AHDB

A bit about you

I was brought up on a mixed livestock farm in East Yorkshire. After studying Agriculture at Newcastle University, I moved down to Warwickshire for my first ‘proper job’ at AHDB in the beef & sheep genetics sector. I did that for 3 years before taking a secondment into the Knowledge Exchange team at AHDB, being the point of contact for beef & sheep producers between Lincolnshire and Herefordshire. A year secondment, turned into 2 and then I got invited to stay! I’ve now been in the role 5 years and enjoy the variety my role brings – no two days are the same.

Why did you decide to join the programme?

I love my job and my team, but I was looking for a new challenge when I came across Helen and Twocan Mentor at an industry networking event. Being mentored sounded like a great idea and opportunity to push myself. Having been in the same organisation since I graduated and the same role for a while, you can sometimes become a little sheltered from how other organisations and job roles work. This seemed the perfect opportunity to get an alternative opinion on my career and development from people that have a very different experience to me and don’t really know me, so have no bias.

What do you hope to gain from the experience?

I would love to have some goals and something to aim for, I don’t know where I see myself in 5/10/15 years, so I’m hoping this scheme will help me bring some clarity to that and work out what I do and don’t want from my career. I’d also like some different opinions on how to deal with work challenges – especially when people have different ways of working. I’m a planner who likes a reasonable amount of detail, a fair amount of control and time to think things through, so working with people who don’t work in that way is inevitable, but can be frustrating
